These terms apply between MerchUI and the merchant who installs a MerchUI app on their Shopify store.
The service
MerchUI provides apps that a merchant installs on their own Shopify store. The Gang Sheet Builder lets a merchant's customers lay out artwork on a print sheet and add the result to the cart. MerchUI provides the tool; the merchant remains responsible for the orders they take and the goods they print.
Your account
Access is tied to the Shopify store the app is installed on. Uninstalling the app ends access to it.
Fees
- Subscription fees are charged through Shopify and appear on the merchant's Shopify invoice.
- Paid plans start with a trial. No fee is charged before the trial ends.
- Fees are charged every 30 days in advance and are not refunded for part of a period.
- Cancelling stops future charges. The plan runs to the end of the period already paid for.
- Prices may change with 30 days' notice by email, and a merchant who does not want the new price can cancel before it applies.
Plan limits
The free plan includes a set number of sheets each calendar month. Once that is used up, saving further sheets is refused until the next month or until the store moves to a paid plan. Limits are counted per store.
Your content
Artwork uploaded through the builder stays the property of whoever owns it. MerchUI stores and processes it only to produce the sheet and make it available to the merchant, and claims no rights over it.
The merchant is responsible for the artwork their customers upload, including whether it may lawfully be printed. MerchUI does not review artwork and cannot judge who holds rights to an image.
Acceptable use
You agree not to:
- resell or sublicense the app to other stores
- work around plan limits or billing
- attempt to break into, overload, or disrupt the service
- use the service to handle unlawful material
Availability
MerchUI aims to keep the service running and available, but does not promise it will be uninterrupted or free of faults. Maintenance, provider outages, and changes on Shopify's side can all interrupt it.
Liability
The service is provided as it is. To the extent the law allows, MerchUI is not liable for lost profits, lost orders, or misprinted work, and total liability for any claim is limited to the fees paid for the service in the three months before the claim.
Nothing here limits liability where the law does not allow it to be limited.
Ending the agreement
A merchant can uninstall at any time. MerchUI may suspend or end access if these terms are broken, or if fees go unpaid, and will say why by email.
Governing law
These terms are governed by the laws of the State of California, and the courts of Orange County, California have jurisdiction.
